1. Campaign Overview

The Tether × Changelly Golden Boost Campaign (the “Campaign”) is organized by Changelly in collaboration with Tether.

The Campaign gives eligible Changelly users an opportunity to earn entries by completing qualifying crypto-to-crypto swaps into USDT or XAUT and to become one of 100 winners sharing a total of $20,000 in XAUT rewards provided by Tether.

The Campaign runs from September 1, 2026, 2:00 PM UTC to September 21, 2026, 2:00 PM UTC (“Campaign Period”).

Participation in the Campaign constitutes acceptance of these Terms & Conditions.

2. Eligibility

To participate, users must:

• have a registered Changelly account;
• be logged in to their Changelly account when completing a qualifying swap;
• meet all applicable Changelly eligibility and verification requirements;
• comply with these Terms & Conditions and Changelly’s general Terms of Use;
• be at least 18 years old, or the age of legal majority in their jurisdiction of residence, whichever is higher;
• not be an employee, contractor, officer, or director of Changelly, Tether, or their respective affiliates, or an immediate family member of any of the foregoing;
• not be located in a restricted jurisdiction or otherwise prohibited from participating under applicable laws or Changelly policies.

Jurisdictional Restrictions. The Campaign is not directed at, and is not open to:

• citizens or residents of the United States of America or any of its territories or possessions, regardless of where they are located;
• residents of the United Kingdom, Singapore, or Canada;
• persons located in, or accessing the Campaign from, any of the jurisdictions listed above; or
• persons located in, or residents of, any other jurisdiction where participation in the Campaign would be unlawful, or which is restricted under Changelly’s Terms of Use or internal policies.

By participating, each participant represents and warrants that they do not fall into any of the categories above. Changelly may apply technical and verification measures, including geolocation checks, account information review, and eligibility declarations, to enforce these restrictions, and may disqualify any participant, remove entries, or withhold or reclaim rewards where it reasonably determines a participant is ineligible under this Section, including where such determination is made after a reward has been announced or distributed.

3. How to Participate

During the Campaign Period, an eligible user must complete a crypto-to-crypto swap of $50 or more into either USDT or XAUT via Changelly.

Each successfully completed qualifying swap earns Campaign entries:

• USDT: 1 entry per qualifying swap;
• XAUT: 2 entries per qualifying swap (“Golden Boost”).

Cross-chain USDT swaps do not qualify.

Failed, cancelled, refunded, reversed, or otherwise incomplete transactions do not qualify for Campaign entries.

4. Campaign Entries

Each qualifying swap generates Campaign entries according to the rules above.

Users may complete multiple qualifying swaps during the Campaign Period. Each additional qualifying swap generates additional entries.

There is no limit to the number of qualifying swaps a participant may complete or the number of entries a participant may accumulate during the Campaign Period.

Entries cannot be transferred, sold, exchanged, or assigned to another user.

Only transactions associated with the participant’s registered Changelly account will be counted.

5. Winner Determination

Within 7 calendar days after the Campaign Period ends, 100 winners will be selected from all eligible participants by way of a random draw conducted among all Campaign entries accumulated during the Campaign Period.

Each Campaign entry constitutes one ticket in the draw. The more entries a participant has accumulated, the higher that participant’s chance of being selected. Qualifying USDT swaps generate 1 entry per swap, and qualifying XAUT swaps generate 2 entries per swap through the Golden Boost.

Each participant may be selected as a winner no more than once and may receive no more than one Campaign reward, regardless of the number of entries accumulated. Once a participant has been selected, that participant’s remaining entries are excluded from the subsequent draws.

Winner selection will take place only after qualifying Campaign transactions and entries have been verified.

6. Prize Pool and Reward Allocation

The total Campaign prize pool is $20,000 in XAUT, provided by Tether, and will be distributed in full among the 100 winners.

Each winner’s individual reward is proportional to the total value of that winner’s qualifying swaps completed during the Campaign Period, subject to the following rules:

• no winner’s reward may exceed twice (2×) the total value of that winner’s qualifying swaps; and
• individual rewards are scaled so that the aggregate value of all rewards equals $20,000 in XAUT.

Individual reward amounts will therefore vary between winners. The reward calculation is based on the USD value of each qualifying swap at the time the swap was completed. The USD value of a reward is fixed at the time of winner determination and converted into XAUT at the prevailing market rate at the time of distribution.

All Campaign rewards will be distributed exclusively in XAUT. Rewards cannot be exchanged for cash or substituted for another digital asset at a winner’s request.

The USD value of XAUT may fluctuate between the determination of the reward amount and its distribution due to market price movements.

7. Winner Notification and Reward Distribution

Winners will be determined within 7 calendar days after the Campaign ends and contacted via the email address associated with their Changelly account.

Each winner must respond within 3 calendar days of receiving the notification and provide a valid wallet address capable of receiving XAUT.

Once the required wallet information has been received and the winner’s eligibility has been confirmed, the reward will be distributed within 10 calendar days.

Participants are responsible for providing an accurate and compatible wallet address. Changelly is not responsible for rewards sent to an incorrect or incompatible wallet address provided by the participant.

If a selected winner:

• does not respond within 3 calendar days;
• fails to provide a valid XAUT-compatible wallet address;
• does not meet the Campaign eligibility requirements; or
• is found to have violated these Terms & Conditions,

the participant will forfeit the reward, and Changelly reserves the right to select a replacement winner by an additional random draw conducted under the same rules, with rewards recalculated accordingly..

8. Fraud and Abuse

Changelly reserves the right to review Campaign activity and disqualify participants or transactions reasonably suspected of fraud, manipulation, abuse, or attempts to artificially increase Campaign entries.

This may include, but is not limited to:

• creating or operating multiple accounts to manipulate Campaign participation;
• using automated or fraudulent methods to generate transactions or entries;
• wash trading or other artificial transaction activity;
• attempting to exploit technical errors or vulnerabilities;
• providing false or misleading information;
• otherwise violating Changelly’s Terms of Use or these Terms & Conditions.

Entries associated with disqualified transactions or accounts may be removed.

If a participant is disqualified, the Campaign ranking may be recalculated accordingly.

9. Changes, Suspension, or Termination

Changelly reserves the right to modify, suspend, or terminate the Campaign where reasonably necessary due to technical issues, fraud, regulatory requirements, circumstances beyond its reasonable control, or other issues that materially affect the integrity or operation of the Campaign.

Any material changes affecting participants will be communicated through appropriate Changelly channels.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Changelly and Tether shall not be responsible for losses or damages arising from circumstances beyond their reasonable control, including technical failures, network disruptions, blockchain delays, third-party service interruptions, or incorrect information provided by participants.

Participation in the Campaign does not constitute financial, investment, legal, or tax advice.

Digital assets, including XAUT and USDT, may be subject to market, technological, regulatory, and other risks. Participants are responsible for making their own decisions regarding digital asset transactions.

Winners are solely responsible for determining, reporting, and paying any taxes, duties, or other governmental charges arising from their participation in the Campaign or their receipt of a reward, in accordance with the laws applicable to them. Changelly and Tether will not withhold, gross up, or reimburse any such amounts, and no reward will be increased on account of any tax liability of a winner.

11. Privacy

Personal information collected or processed in connection with the Campaign will be handled in accordance with Changelly’s applicable Privacy Policy.

Information may be processed where reasonably necessary to administer the Campaign, verify eligibility, determine and contact winners, distribute rewards, prevent fraud, and comply with applicable legal obligations.

12. General Provisions

By participating in the Campaign, participants agree to these Terms & Conditions.

Changelly’s general Terms of Use and other applicable policies continue to apply to all transactions completed during the Campaign.

In the event of any inconsistency between promotional materials and these Terms & Conditions, these Terms & Conditions shall prevail with respect to Campaign mechanics and eligibility requirements.
